1. Agreement and scope

This agreement governs your use of the Arpify software and accompanying documentation supplied by FTFMT (“Software”). “Purchased Version” means the version identified in your order or the software delivered under that order, together with all future Arpify updates and upgrades released by FTFMT, included at no additional charge. “You” means the purchaser or authorized license holder; a person accepting for an organization must have authority to bind it.

When this agreement is presented to you for acceptance, your affirmative acceptance signifies your agreement to its terms. If you do not agree, do not install or use it and contact us about your applicable cancellation or refund rights. Your statutory rights are not lost merely because you decline this agreement.

2. License grant

Subject to this agreement and any applicable purchase conditions disclosed before purchase, FTFMT grants you a nonexclusive license to install and use the Purchased Version for your own personal and commercial audio work, including producing and distributing your musical recordings. You may keep reasonable backup copies. You remain responsible for rights in the audio and other material you process.

Your one-time purchase includes a lifetime, perpetual license to Arpify and free lifetime updates, including future Arpify updates and major-version upgrades released by FTFMT. No subscription, recurring license payment or additional Arpify update fee is required. Your license continues unless lawfully terminated under this agreement. This entitlement does not promise a particular release schedule or compatibility with every future computer, operating system or host. Mandatory legal rights and other express purchase commitments remain unaffected.

This agreement imposes no numerical device or activation limit. It does not authorize sharing the Software as a separately usable product with other people or organizations. A purchase does not grant an unlimited multi-user or organization-wide license; any such entitlement must be expressly agreed in writing.

3. Ownership and your work

The Software is licensed, not sold. FTFMT and its respective licensors retain their rights in the Software, documentation and branding. This agreement does not transfer those rights or grant a right to use FTFMT trademarks to suggest endorsement. FTFMT does not acquire ownership of your recordings, compositions or other creative work solely because you process them using Arpify.

Arpify's proprietary application code is supplied in closed-source form. Components under third-party licenses remain governed by those licenses as described in section 6. No claim is made that every component or underlying algorithm was created by FTFMT.

4. Use restrictions and transfers

Except with our written permission or where applicable law or a third-party license permits it, you must not:

  • Redistribute, publish, rent, resell or sublicense the Software as a software product, or make copies available for unauthorized use.

  • Distribute modified versions of the proprietary Software without authorization.

  • Remove or obscure required ownership, copyright or third-party license notices.

  • Misrepresent your identity or purchase entitlement, or distribute unauthorized license credentials if credentials are supplied in a future applicable version.

  • Circumvent licensing or access protections actually implemented in an applicable version, or assist unauthorized access, except where the restriction is prohibited by law.

  • Reverse engineer, decompile or disassemble proprietary portions except to the extent permitted by mandatory law or an applicable license, including protected interoperability or research rights.

Processing and distributing your own audio output is permitted and is not redistribution of the Software. These restrictions do not prohibit independently exercising rights granted by an open-source component license.

The license is personal to the purchaser and may not be transferred, assigned or resold to another person or organization, except where applicable law provides a right that cannot be restricted. This restriction does not limit rights granted by third-party component licenses.

5. Activation, updates and support

Arpify v0.9.2 does not require a customer license key, device registration or online activation. The absence of technical enforcement does not authorize copying or sharing outside this agreement. A future material activation requirement must be disclosed and lawfully agreed where required; it is not silently added to your existing license.

All future Arpify updates and upgrades released by FTFMT are included free of charge for your lifetime license. There is no in-plugin automatic updater in Arpify v0.9.2; release information is available through https://forthefloortech.com and support at ftfmt.info@gmail.com. No fixed update schedule or support response time is promised. FTFMT will honor applicable statutory update, conformity and remedy obligations. The update entitlement cannot be reduced retroactively by later generic policy changes.

6. Third-party software

Arpify includes third-party components, including JUCE and Signalsmith libraries. Applicable notices and license texts accompany the distribution in Licenses/ and within plugin resources. Those licenses govern the respective components, and this agreement does not remove or narrow rights granted by them. Where this agreement conflicts with a third-party license concerning that component, the component's license controls.

Receiving third-party components does not grant ownership of FTFMT's proprietary code. Your audio-work license is separate from FTFMT's responsibility to maintain its own framework and redistribution permissions. See the distributed THIRD_PARTY_NOTICES.md and license collection.

7. Warranties and statutory protections

Subject to mandatory law and any express commitments made at purchase, the Software is provided as available, without additional warranties of uninterrupted operation, error-free performance or suitability for every purpose, host or future platform. To the extent lawful, implied warranties are disclaimed. Test the Software with your workflow and maintain backups of important sessions.

Nothing excludes rights concerning satisfactory or acceptable quality, fitness for a disclosed purpose, conformity with description, lawful supply, required updates, repair, replacement, price reduction, refund or other remedies where those rights cannot legally be excluded. A statement elsewhere that the Software is provided “as is” must be read subject to this protection.

8. Liability

To the extent permitted by applicable law, FTFMT is not responsible for indirect or consequential losses that applicable law allows it to exclude. Nothing limits liability that cannot lawfully be limited, including applicable liability for fraud, deliberate misconduct, death or personal injury caused by negligence, or mandatory consumer remedies. This agreement does not shift responsibility for a defective or misdescribed product to the customer merely because third-party hosting software is involved.

9. Termination and refunds

You may end your use at any time by removing your copies. FTFMT may terminate the license for a material breach to the extent lawful, after notice and a reasonable opportunity to remedy a remediable breach. Termination must not be arbitrary or remove remedies already owed to you.

On lawful termination, cease use and delete operational copies, except copies you are entitled or required to retain by law; retained copies must not be used without an applicable right. Your rights in existing musical work remain unaffected. Third-party license rights survive according to their own terms.

A full refund that lawfully rescinds the purchase ends the refunded proprietary license; stop using and remove the Software under that license. A partial price reduction does not automatically terminate it. You may request a full refund for any reason within 14 calendar days of purchase, including after download or use; no explanation or troubleshooting is required. See the Refund Policy; statutory remedies take priority over contrary restrictions.

10. Governing law and disputes

This agreement is governed by the laws of the Commonwealth of Pennsylvania, United States, except where applicable law requires otherwise. If you are a consumer, this choice does not deprive you of mandatory protections available under the laws of your place of residence.

Disputes may be brought before a court that has jurisdiction under applicable law. This agreement does not require exclusive proceedings in Pennsylvania, mandatory arbitration, or waiver of class-action rights. You retain any non-waivable right to bring proceedings where you live.

Contact ftfmt.info@gmail.com to seek a practical resolution. Contacting us is not a prerequisite to exercising a statutory right and does not extend legal filing deadlines.

11. Related terms and changes

The Terms of Service govern website purchases and delivery; this EULA governs Software use; the Refund Policy explains refunds. Mandatory law and applicable third-party licenses prevail. An express order commitment is not erased by generic policy language. If a conflict remains, contact us; ambiguous provisions must be interpreted as applicable law requires.

Changes to this agreement apply prospectively where lawfully effective. Posting new website terms alone does not remove an already purchased perpetual entitlement or impose new material restrictions retroactively. If a provision cannot be enforced, the remainder applies only to the extent permitted by law.
